Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") are a binding agreement between you and Restored Trading LLC ("Company", "we", "us", or "our"), which operates the TradePosture software platform, websites, and related services (collectively, the "Service"). By creating an account, entering an access code, or otherwise accessing or using the Service, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Service. By using the Service you represent and warrant that you meet these requirements and that all information you provide is accurate.

3. The Service

TradePosture is a software tool for traders and investors that provides a trading journal, options and equity screeners, market research, watchlist and trade planning, educational strategy content, optional brokerage import, a community board where designated analysts may publish trade ideas, and AI-assisted analysis and coaching features. The Service is an informational and educational tool only. It is not a broker, exchange, or execution platform, and it does not place, route, or execute orders. It is currently offered as a beta and may change, be interrupted, or be discontinued at any time.

4. Not Financial, Investment, Legal, or Tax Advice

THE SERVICE DOES NOT PROVIDE FINANCIAL, INVESTMENT, LEGAL, ACCOUNTING, OR TAX ADVICE, AND NOTHING IN THE SERVICE CONSTITUTES A RECOMMENDATION OR SOLICITATION TO BUY, SELL, OR HOLD ANY SECURITY, OPTION, FUTURE, OR OTHER FINANCIAL INSTRUMENT.

The Company is not a registered investment adviser, broker-dealer, financial planner, or commodity trading adviser, and no fiduciary or advisory relationship is created by your use of the Service. All content, scans, grades, signals, screeners, playbooks, and AI outputs are provided for general informational and educational purposes only. You are solely responsible for evaluating the information and for any decisions you make. You should consult a licensed professional before making any financial decision.

This applies equally to content published by other users. The Service includes a community board on which users designated as analysts may publish profiles, trade ideas, and commentary. That content is the opinion of the individual who posted it, is not reviewed, verified, endorsed, or adopted by the Company, and is not a recommendation or advice from the Company. Analysts are not the Company's employees or agents and are not acting as your adviser. Any trade idea you see on the board is educational commentary that you must independently evaluate; you remain solely responsible for your own decisions.

5. Trading Risk; Your Sole Responsibility

Trading and investing — particularly in options, futures, and other derivatives — involves substantial risk of loss and is not suitable for all investors. You may lose some or all of your capital. Past performance, hypothetical results, backtests, and any metrics shown in the Service (including "Pulse Score," expectancy, win rates, and projected targets) are not indicative of future results.

You acknowledge that you trade and invest entirely at your own risk and on your own judgment. The Company is not responsible for any trades you place or decline to place, or for any losses, lost profits, or damages arising from your use of, or reliance on, the Service.

6. AI-Assisted Features

The Service includes AI-assisted features (including the "Trade Doctor" coach and AI-generated analysis). AI outputs are generated automatically, may be inaccurate, incomplete, or misleading, and must not be relied upon as advice. The AI does not place trades and does not provide buy/sell recommendations or price validation. You are responsible for independently verifying any information before acting on it.

7. Market Data and Third-Party Information

The Service may display market data, quotes, fundamentals, news, and other information obtained from third-party providers. Such information may be delayed, inaccurate, incomplete, or unavailable, and is provided "as is" without warranty. The Company does not guarantee the accuracy, timeliness, or completeness of any data and is not liable for any errors, omissions, or delays, or for any action taken in reliance on such data.

8. Accounts and Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree to notify us promptly of any unauthorized use. We may require an access code for beta participation and may grant, deny, suspend, or revoke access at our discretion.

9. Your API Keys and Connected Accounts

The Service may allow you to provide your own third-party API keys (for example, market-data or AI providers). You are solely responsible for your keys, for any usage and fees they incur, and for complying with the terms of those third-party providers. You authorize the Service to use the keys you provide solely to deliver the features you request. We are not responsible for third-party services, their availability, or their charges.

You may also choose to connect a brokerage account through a supported integration. If you do, you authorize the Service to access account, position, and transaction information from that broker in order to display it and import your trade history. The Service uses this access to read information only; it does not place, modify, or cancel orders, and it does not move funds. You are responsible for complying with your broker's terms, and you may disconnect the integration at any time. Imported data may be incomplete or misclassified, and you are responsible for reviewing it for accuracy.

10. Acceptable Use

You agree not to: (a) copy, modify, distribute, sell, sublicense, reverse engineer, decompile, or create derivative works of the Service or its source code; (b) access the Service to build or assist a competing product; (c) use the Service unlawfully or in violation of any exchange, broker, or data-provider rules; (d) interfere with or disrupt the Service or its security; (e) scrape, harvest, or bulk-export data except as expressly permitted; or (f) share, resell, or transfer your access without our consent.

11. Subscriptions, Fees, and Billing

Some features require a paid plan. Fees, billing cycles, renewals, and cancellation and refund terms are disclosed at the point of purchase and are incorporated into these Terms. Unless otherwise stated, subscriptions renew automatically until cancelled, and fees are non-refundable except where required by law. Payments are processed by third-party providers (including Whop), which host the checkout and handle your payment information subject to their own terms; the Company does not receive or store your full payment card details.

Access to certain features may also be granted through membership in an affiliated community. If your access depends on such a membership and that membership ends, the associated access to the Service may end with it.

12. Usage Limits and Fair Use

The Service applies usage limits to resource-intensive features — such as scans, backtests, option-chain requests, AI coaching messages, and sharing — which vary by plan and are enforced on a rolling daily basis. These limits exist to keep the Service affordable and available to everyone and to control third-party data and AI costs. We may adjust limits, and we may throttle, suspend, or restrict access if your usage is excessive, automated, or abusive, or if it threatens the stability of the Service or our compliance with a data provider's terms.

13. Intellectual Property

The Service, including all software, source code, designs, text, graphics, the "TradePosture" name and branding, and all related intellectual property, is owned by the Company and protected by law. Except for the limited right to use the Service in accordance with these Terms, no license or right is granted to you. All rights are reserved. See the LICENSE accompanying the software for additional terms.

Your content remains yours. You retain ownership of the journal entries, notes, images, and other content you create in the Service ("Your Content"). You grant the Company a non-exclusive, worldwide, royalty-free license to host, store, reproduce, and display Your Content solely as needed to operate and provide the Service to you — for example, to store your journal, generate your analytics, and deliver the features you request.

If you choose to publish content — for example, by posting to the community board or sharing it to another platform — you additionally grant the Company the right to display and distribute that published content to the users or destinations you have selected, for as long as you keep it published. You represent that you have the rights to the content you publish, and that it does not infringe anyone's rights or violate any law or third-party agreement. You may remove your published content at any time; copies already shared to third-party platforms may persist outside our control. We may remove content that violates these Terms.

We do not claim ownership of Your Content and do not sell it. Any use of Your Content beyond operating the Service and honoring your publishing choices would require your separate consent.

14. Beta Service

The Service is provided as a beta and may contain bugs, errors, and inaccuracies. Features may be added, changed, or removed without notice. The Company makes no commitment regarding availability, reliability, or data retention during the beta period.

15. Termination

We may suspend or terminate your access to the Service at any time, with or without cause or notice. You may stop using the Service at any time. Provisions that by their nature should survive termination (including Sections 4–7 and 13–18) will survive.

16. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ACCURATE, OR ERROR-FREE. YOU USE THE SERVICE AT YOUR OWN RISK.

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY AND ITS OWNERS, OFFICERS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, TRADING LOSSES, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICE, WHETHER BASED ON CONTRACT, TORT, OR ANY OTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN ALL CASES, THE COMPANY'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO THE COMPANY FOR THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

18. Indemnification

You agree to indemnify, defend, and hold harmless the Company and its owners and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your trading or investment decisions, your violation of these Terms, or your violation of any law or third-party right.

19. Governing Law and Disputes

These Terms are governed by the laws of the State of North Carolina, without regard to its conflict-of-laws rules. You agree that any dispute arising out of or relating to the Service or these Terms will be resolved in the state or federal courts located in North Carolina, and you consent to their jurisdiction and venue.

20. Changes to These Terms

We may update these Terms from time to time. Material changes will be indicated by updating the "Effective Date" above and, where appropriate, by additional notice. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
